COMPANY DISCLAIMER

• AGLA SECURITY FIRM & INVESTIGATIONS is NOT liable for any employee injuries and/or bodily harm while in transit to and from a shift, event and or detail.

• AGLA SECURITY FIRM & INVESTIGATIONS is NOT responsible for any civil or criminal liability if an employee causes great bodily harm. (This is not limited to death.)

• Job abandonment will result in an automatic termination. If the job is abandoned, you will be reported to the Florida Department of Agriculture for job abandonment.

• If a AGLA SECURITY FIRM & INVESTIGATIONS employee decides to leave the company, a two weeks' notice must be given prior to departing from the company. If less than 2 weeks is given, the employee will be considered NON-REHIRABLE.

• AGLA SECURITY FIRM & INVESTIGATIONS employees are to scan all scan point/check points every half hour. Failure to do so will result in a deduction in pay from the last scan to when scanning resumes. (Example: If an employee works a 11pm to 5am shift and the employee stops scanning at 1am and starts scanning back at 2am, 1 hours' worth of pay will be deducted from the employee's paycheck.)

• AGLA SECURITY FIRM & INVESTIGATIONS employees are responsible for returning all equipment back at the end of their shift (This includes: Body Cameras, keys, etc…)

• Upon leaving the company ALL AGLA SECURITY FIRM & INVESTIGATIONS employees are expected to return any and all issued uniforms that the company has provided.

• If an employee needs transportation AGLA SECURITY FIRM & INVESTIGATIONS will Uber you to and from the work site. Employees that use the service will have the ride fare along with a $12.00 surcharge fee deducted from their paycheck.

• Return of the uniform and/or patch, 4 days prior to pay period otherwise your final pay will be delayed.

I agree to conform to the policies and procedures of the company. If employed, I understand that my employment is at will. I also understand that my employment can and may be terminated at any time with or without cause. No advance notice will be given. I also understand that no member of management (i.e., Supervisor, Manager, etc…) has the authority to enter into any express or implied contract for employment at any specific period of time. Any agreement contrary to the information above, must be in writing and must state that it is a contract to be signed by the Chief Operating Officer of High Risk Enforcement. I understand that any offer of employment is conditioned upon the satisfactory completion of the application process. (This includes Background check, employment verifications, etc…) By signing below, I certify that my answers are true and complete to the best of my knowledge. If this application leads to employment, I understand that false or misleading information in my application or interview may result in my application being rejected or separating from the company.

In consideration of my employment, or continued employment, by Company in an "at will" capacity, meaning that either Company or I can terminate the employment relationship for any reason or for no reason and with or without notice, I agree as follows:

RESTRICTIVE COVENANTS

Employee acknowledges that Company has invested substantial time, money and resources in the development, protection, and retention of its Confidential Information, intellectual property, customers, accounts, business partners, trademarks, trade dress, existing and prospective customer relationships, good will, and specialized employee training. These items are the Company's legitimate business interests, and Employee acknowledges that these legitimate business interests require protection.

1. CONFIDENTIALITY. Employee understands that Employee's position with the Company is one of trust and confidence because of Employee's access to trade secrets and Confidential Information. Employee will obtain knowledge of and/or access to Confidential Information and may create or contribute to the creation of Confidential Information. Employee pledges Employee's best efforts and utmost diligence to protect and keep the trade secrets and Confidential Information of the Company. Employee understands that the restrictive Covenants contained below are designed to enforce Employee's agreement and covenant to maintain the confidentiality of the Confidential Information.

2. NON-SOLICITATION OF CUSTOMERS OR CLIENTS. As a material inducement to the Company to allow Employee to become and/or remain an employee of the Company, Employee agrees that, during the term of Employee's employment with the Company, and during the twenty-four (24) month period after termination of Employee's employment with the Company, regardless of whether the termination is with or without cause, or whether by the Company or by the Employee, Employee will not, directly or indirectly, solicit the trade of, or trade with, or do business with, or attempt to solicit the trade of, or trade with,or do business with, or communicate with any of the Company's customers/clients or prospective customers/clients without the Company's prior written consent. Employee acknowledges and agrees that the restrictions and limitations contained in this paragraph are reasonable as to the scope and duration are necessary to protect the Company's proprietary interests and to preserve the Company's competitive advantage and legitimate business interests.

3. NON-COMPETE. As a material inducement to the Company to allow Employee to become and/or remain an Employee of the Company, Employee agrees that, during the term of Employee’s employment with the Company, and during the twenty-four (24) month period after termination of Employee’s employment with the Company, regardless of whether the termination is with or without cause, or whether by the Company or by the Employee, Employee shall not directly or indirectly, own, manage, operate, control, be employed by, participate in, or be connected in any manner with the ownership, management or control of any business that offers for sale any of the same goods or services offered by Company during the time period of this restrictive covenant. In the event you breach or threaten a breach of this paragraph, the Company shall be untitled to an injunction restraining you therefrom. Nothing shall be constructed as prohibiting the Company from pursuing any other available remedies for such breach or threatened breach, including the recovery of damages from you. Employee agrees that this provision shall remain in full force regardless of any disputes pertaining to payment or remuneration.

4. NON-DISPARAGEMENT. As a material inducement to the Company to allow Employee to become and/or remain an employee of the Company, Employee agrees that, during the term of Employee’s employment with the Company, and during the twenty-four (24) month period after termination of Employee’s employment with the Company, regardless of whether the termination is with or without Cause, or whether by the Company or by the Employee, Employee shall not make any statements, written or verbal, or cause or encourage others to make any statements, written or verbal, that defame, disparage or in any way criticize the personal or business reputation, practices, or conduct of the Company, its employees, directors, and officers. Employee acknowledges and agrees that this prohibition extends to statements, written or verbal, made to anyone, including but not limited to, the news media, investors, potential investors, any board of directors or advisory board or directors, industry analysts, competitors, strategic partners, vendors, employees past and present, social media, websites, and clients. Employee understands and agrees that this Paragraph is a material provision of this Agreement and that any breach of this Paragraph shall be a material breach of this Agreement, and Company would be irreparably harmed by violation of this provision.

5. DAMAGES. The Employee acknowledges and agrees that the Company’s remedies at law for a breach or threatened breach of this Agreement would be inadequate and, in recognition of this fact, the Employee agrees that, in the event of such a breach or threatened breach, in addition to any remedies at law, the Company, without posting any bond, shall be entitled to obtain equitable relief in the form of specific performance, temporary restraining order, a temporary or permanent injunction or any other equitable remedy which may be available. In connection with any litigation arising out of this Agreement, the prevailing party shall be entitled to recover from the non-prevailing party all actual damages, all costs incurred and all reasonable attorneys’ fees, and court costs, including attorneys’ fees and costs for any appeals. However, the arbitration rules and the terms set forth in section 9 herein shall govern the entitlement of attorneys’ fees.

6. EMPLOYMENT STATUS. Nothing in this Agreement alters Employee’s status as an employee-at-will of the Company. The Company or the Employee may terminate the employment relationship at any time, with or without cause. However, Employee agrees that finding a replacement with limited time would be harmful to the Company. Employee agrees that Employee will provide two weeks written notice of resignation. Failure to provide two weeks written notice of intent to resign shall result in the Company reducing any and all remaining pay or renumeration owed to Employee to minimum wage in lieu of Employee’s normal hourly rate. A “no call, no show” or a situation where an employee fails to notify Company that Employee is not going to report to a work shift may be considered an immediate resignation by the Company.

7. FAILURE TO PROVIDE REASONABLE NOTICE. For each shift, Employee agrees that finding a replacement with limited time would be harmful to the Company. Employee agrees that Employee shall inform Company that Employee will not be able to cover an assigned shift within a reasonable time, or no less than 3 hours. Failure by Employee to inform Company that Employee is unable to cover a shift shall result in Company reducing any and all remaining pay or renumeration owed to Employee to minimum wage in lieu of Employee’s normal hourly rate, which the difference of rates up to $200 shall be used to allow Company to cover the out of pocket loss caused by Employee’s missed shift.

8. CHOICE OF LAW, JURISDICTION, AND VENUE. The Employee and Company agree that this Agreement shall be construed and interpreted in accordance with the laws of the State of Florida as this transaction was entered into in the State of Florida, and Company is a Florida corporation. Accordingly, Employee acknowledges and agrees at all times to submit to the personal jurisdiction of the federal and state courts in Florida for the sole and limited purpose of administering and enforcing this Agreement. The parties a) agree that any legal proceedings relating to this Agreement shall be brought in the state courts in Palm Beach County, Florida or the District Court of the United States, Southern District of Florida. b) consent to the jurisdiction of each such court, and c) waive any objection which the parties may have to venue of any proceeding in any such court.

9. ARBITRATION. Any controversy or claim arising out of or relating to this Agreement with Company or Employee’s employment with Company, except for paragraphs 1,2,3 and 4 shall be referred to and resolved by arbitration in West Palm Beach, Florida in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The parties shall bear their own attorney’s fees and costs, unless such relief is superseded by statute, in which case, the parties shall follow any prevailing law regarding attorney’s fees and costs.

10. SEVERABILITY. It is agreed that the invalidity or enforceability of any one provision or part of this Agreement shall not render any other provision or part thereof invalid or unenforceable and that such other provisions or parts shall remain in full force and effect.

11. COVENANTS INDEPENDENT. Each restrictive covenant on the part of the Employee set forth in this Agreement shall be construed as a convenant independent of any other covenant or provisions of this Agreement or any other agreement which the Corporation and the Employee may have, fully performed and not executory, and the existence of any claim or cause of action by the Employee against the Corporation, whether predicated upon another covenant or provision of the Agreement or otherwise, shall not constitute a defense to the enforcement by the Corporation of any other covenant.

12. ENTIRE AGREEMENT. No agreements or representations, oral or otherwise, express or implied, with respect to the subject matter hereof have been made by either party which are not expressly set forth in this Agreement. No provision of this Agreement may be modified without written consent of the Employee and the President of the Company. This Agreement supersedes any prior agreements pertaining to the subject matter of this Agreement. Employee and Company agree that each has read this Agreement, has had the opportunity to inquire as to all material facts pertinent to this Agreement, that there is absolutely no agreement or reservation not clearly expressed herein, and that the execution hereof is not induced by any representations or promises by Employee or Company or by any agent or representative of any of them.

13. OPPORTUNITY TO REVIEW AND OBTAIN ADVICE. I ACKNOWLEDGE THAT I HAVE READ, EXECUTED AND RECEIVED A COPY OF THIS AGREEMENT, THAT I DO SO VOLUNTARILY, AND THAT THE COMPANY ENCOURAGED ME TO SO CONSULT AND OBTAIN LEGAL ADVICE PRIOR TO EXECUTING THIS AGREEMENT.

EMPLOYMENT ACKNOWLEDGEMENT AGREEMENT

I understand that I can request during my employment the company’s Drug Free Workplace Handbook, which includes the company Drug Free Workplace policy, employee assistance information, a listing of drugs being tested for, common over-the-counter medications which may alter a drug test and educational material on substance abuse. I have also been given the opportunity to voluntarily complete a Medication Disclosure Form.

I freely and voluntarily agree and realize that as part of my employment, I may be subjected to future drug and/or alcohol screens for post-accident, reasonable suspicion, routine fitness-for-duty, return to work, follow-up, and/or random testing at the company’s discretion. I understand that a refusal to submit a blood, urinalysis, hair and/or breath test will result in immediate termination from employment. I understand that a tampered or an adulterated drug and/or alcohol specimen will be considered a refusal to test, resulting in immediate termination. I understand that a confirmed positive drug and/or alcohol test will result in immediate termination of employment, but if I am able to successfully complete substance abuse treatment at my expense, and if my job is still available, I may be given one chance to be rehired, upon a negative return to work drug and/or alcohol test. I understand that I will be subject to the company rehabilitation agreement and I will undergo random follow-up drug and/or alcohol tests for a period of 2 years. I understand that a confirmed positive drug and/or alcohol follow-up test or any violation of the rehabilitation agreement will result in termination of employment. I understand that this company reserves the right not to offer employment to a former employee who was terminated in violation of this policy, even if a job is available.

I agree to voluntarily submit to a blood, urinalysis, hair and/or breath test for drug and alcohol use as part of my ongoing employment, and I release my employer from any liability resulting from my participation in such a screening. I understand that if I am injured during the course and scope of employment and I test positive for the presence of alcohol and/or drugs, I may forfeit my eligibility for medical and indemnity benefits under Florida’s workers’ compensation law (Florida Statutes 440.102). I also understand that a refusal to test under this circumstance will automatically forfeiture my eligibility for medical and indemnity benefits and immediate termination from employment. I understand that a confirmed positive drug and/or alcohol test, a tampered with or an adulterated specimen or a refusal to test may result in forfeiture of unemployment benefits under Florida law.

I hereby give my consent to release the results of my blood, urinalysis, hair and/or breath test to the person(s) or department(s) or the specified agent of my employer, including my employer’s Workers’ Compensation Insurance Company, for the purpose of determining the presence of alcohol and/or other drugs in my body for the duration of my employment. By signing this form, I hereby release to the Company and/or Company’s Medical Review Officer the results of the test(s) to which I have consented. I further authorize the Company to discuss the results with medical personnel/physician collecting the specimen, the testing facility, its directors, officers, agents, and employee responsible for administering the aforementioned test(s) or evaluating the results thereof and any of them herein. I also authorize the Company to discuss the results with its legal advisors and to use the test results as defense to any legal action to which I am party. I further release any testing facility or any physicians who have tested me from liability arising from a release of any and all results, written reports, medical records, and data concerning my tests(s) to the appropriate Employer officials. I agree to have the results released to the Company and/or the Company’s Medical Review Officer.

I also understand that the Drug-Free Workplace policy and related documents are not intended to constitute a contract between this employer and myself. As an employee, I understand and agree to abide by this company’s Drug Free Workplace policy; and have received a written 60 day notification of this program, if applicable.
